Transfer of Intellectual Property – Bootleg Music Production

TRANSFER OF INTELLECTUAL PROPERTY – BOOTLEG MUSIC PRODUCTION

This Music Production Transfer Agreement (the “Agreement”) is entered into between the client {{billing_first_name}} {{billing_last_name}}, residing at the address {{billing_address_1}} (hereinafter referred to asminado “Client”), and ghostproducer.com .br (hereinafter referred to asminado “Provider”), collectivemente referred to como “Parties”.

1. PURPOSE OF THE TERM The Provider grants the Customer the right to personal use of the song entitled “{{products_name_in_cart}}” (hereinafter referred to as “Bootleg Song”), which is an unofficial (bootleg) version of an existing song.

2. NATURE OF USE This Agreement covers only the right to use the Bootleg Music. It does not transfer to the Client any right to the original composition of the music. The Client is only acquiring the right to use the recording and arrangement produced by the Provider.

3. CUSTOMER RESPONSIBILITY Customer is solely responsible for obtaining all necessary licenses and permissions for the distribution and sale of the Bootleg Music, including but not limited to mechanical and synchronization licenses. Provider is not responsible for any legal issues arising from the use or distribution of the Bootleg Music.

4. WARNING ABOUT LEGAL RISKS The Client should be aware that distributing a Bootleg Song without proper authorization from the original copyright holders may result in legal action. However, it is a common practice among DJs and producers, and it is rare for legal action to occur. If the song goes viral, it is possible that the publisher of the original song will seek to license the version, benefiting all parties involved. The Provider is not responsible for any legal issues arising from the unauthorized distribution of Bootleg Song.

5. FORMATS AND VERSIONS Music provided by Provider will include the following files: WAV, MP3, Mixed and Mastered Audio. Additionally, extended versions, radio mixes and instrumentals may be available, as applicable.

6. CUSTOMER USE After delivery of the Bootleg Music, the Customer may use it for personal and non-commercial purposes. Public reproduction, distribution or any commercial use is the sole responsibility of the Customer, and the Provider is not responsible for any legal implications arising from such use.

7. CUSTOMER LIMITATIONS The Client may not: a) Claim original authorship of the Bootleg Music, since all rights to the original composition remain with the copyright holders; b) Use the Bootleg Music in a manner that infringes copyright, trademark, privacy rights or any other applicable law; c) Use the Bootleg Music in projects that are defamatory, obscene, illegal or that promote illegal activities; d) Commercialize or distribute the Bootleg Music without the appropriate licenses.

8. CUSTOMER RESPONSIBILITIES The Customer is solely responsible for the proper and legal use of the purchased Bootleg Music. The Customer agrees to indemnify and hold the Provider harmless from any claim, lawsuit or loss resulting from the improper use of the Bootleg Music.

9. CONFIDENTIALITY The Parties agree to keep confidential all information and materials exchanged during the negotiation and execution of this Agreement, except as required by law.

10. INDEMNIFICATION AND LIMITATION OF LIABILITY The Customer agrees to indemnify the Provider for any losses, damages or expenses arising from a breach of this Term. The Provider's liability is limited to the amount paid by the Customer for the Bootleg Music.

11. JURISDICTION AND ARBITRATION This Agreement shall be governed by the laws of Brazil. Any dispute arising from this Agreement shall be resolved through binding arbitration, in accordance with the rules of , headquartered in São Paulo – Brazil.

12. NOTIFICATIONS All notices required or permitted under this Agreement must be in writing and sent by email or registered mail to the addresses provided by the Parties.

13. FORCE MAJEURE Neither Party shall be liable for delays or failures in performance of this Agreement due to events beyond its reasonable control, such as natural disasters, wars, or acts of government.

14. REVIEW CLAUSE This Agreement may be revised by mutual written agreement between the Parties in the event of significant changes in circumstances.

15. ACCEPTANCE AND ELECTRONIC AGREEMENT This Agreement may be accepted electronically, and such acceptance shall be deemed legally binding.

16. TERM AND TERMINATION This Agreement shall come into effect immediately upon confirmation of payment and shall remain in effect until terminated by either Party. The Customer may terminate the Agreement by ceasing to use the purchased Bootleg Music.

17. GENERAL PROVISIONS a) This Agreement constitutes the entire understanding between the Parties in relation to the subject matter described herein and replaces any prior agreement related thereto; b) This Agreement shall be governed by and construed in accordance with the laws of São Paulo – Brazil; c) Any alteration or modification of this Agreement requires the written consent of both Parties.

By accepting this Term, the Customer declares to be aware of and agree with all the terms and conditions established herein.
