Transfer of Intellectual Property – Musical Cover Production

This Music Production Transfer Agreement (the “Agreement”) is entered into between the client {{billing_first_name}} {{billing_last_name}}, residing at the address {{billing_address_1}} (hereinafter referred to asminado “Client”), and ghostproducer.com .br (hereinafter referred to asminado “Provider”), collectivemente referred to como “Parties”.

1. OBJECT OF THE AGREEMENT The Provider agrees em to provide the Customer um with a production service that includes the re-recording, rearrangement and, where applicable, vocals of the música entitled “{{products_name_in_cart}}” (hereinafter referred to as minada “Cover Song”).

2. NATURE OF THE SERVICE This Agreement only covers the Cover Music production service. It does not transfer to the Customer any rights over the original comúsica position. The Customer is purchasing only the recording and arrangement produced by the Provider.

3. CUSTOMER RESPONSIBILITY Customer is fullyment responsible for obtaining all licenses and permissions necessary for the distribution and sale of the Cover Song, including, mas not limited to, mechnical and synchronization licenses.

4. USE FOR DIGITAL STREAMING AND DOWNLOAD For streaming, the Customer does not need a mechnical license. However, if the Customer wishes to sell the digital download version of the Cover Song, it is mandatory to obtain the corresponding mechnical license.

5. FORMATS AND VERSIONS The músicas provided by the Provider will include the following files: WAV, MP3, Mixed and Mastered Audio. In addition, extended versions may be available, m radio and instructional wirings, as applicable.

6. CUSTOMER RIGHTS Upon delivery of the Cover Song, the Customer has the right to use it in accordance with the following permissions: a) Reproduce, distribute, publicly perform and display the Cover Song on any digital or physical audio format; b) Use the Music Cover em audiovisual productions, such as filmes, videos, comertials, documents and presentations; c) Carry out remixes, adaptations or editions of the Cover Song.

7. CUSTOMER LIMITATIONS The Client cannot: a) Claim the original authorship of the Cover Song, as all rights to the original com position belong to the copyright holders; b) Use the maneira Cover Song that infringes copyright, mrademarks, privacy rights or any other applicable law; c) Use Cover Music for projects that are defamatory, obscene, illegal or that promote illegal activities.

8. CUSTOMER RESPONSIBILITIES The Customer is solely responsible for the proper and legal use of the Cover Music purchased. The Customer agrees to indemnify and hold the Provider harmless from any claim, legal action or loss resulting from misuse of the Music Cover.

9. CONFIDENTIALITY The Parties agree to keep confidential all information and materials exchanged during the negotiation and performance of this Agreement, except as required by law.

10. INDEMNIFICATION AND LIMITATION OF LIABILITY The Customer agrees em to indemnify the Provider for any losses, damages or expenses arising from breach of this Agreement. The Provider's responsibility is limited to the amount paid by the Customer for the Cover Music.

11. JURISDICTION AND ARBITRATION This Agreement will be governed by the laws of Brazil. Any dispute arising from this Agreement will be resolved through binding arbitration, in accordance with the rules of , with headquarters in São Paulo – Brazil.

12. NOTIFICATIONS All notices required or permitted under this Agreement must be in writing and sent by email or registered mail to the addresses provided by the Parties.

13. FORCE MAJEURE Neither Party will be responsible for delays or failures in performance of this Agreement due to events beyond its reasonable control, such as natural disasters, wars, or acts of government.

14. REVIEW CLAUSE This Agreement may be revised by mutual written agreement between the Parties in the event of significant changes in circumstances.

15. ACCEPTANCE AND ELECTRONIC AGREEMENT This Agreement may be accepted electronically, and such acceptance will be considered legally binding.

16. TERM AND TERMINATION This Agreement comes into force upon confirmation of paymentmento and perment and will remain in force until terminated by either party. Customer may terminate the Agreement by terminating use of the purchased Cover Song.

17. GENERAL PROVISIONS

a) This Agreement constitutes the entire understanding between the Parties andm with respect to the subject matter described herein and supersedes any previous agreement related to mesmo;

b) This Agreement will be governed and interpreted in accordance with the laws of São Paulo – Brazil;

c) Any amendment or modification of this Agreement requires the written consent of both Parties.

By accepting this Agreement, the Customer declares to be aware of and agree with all terms and conditions established herein.
